Terms and Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("user" or "you"), and Neogi Software, a sole proprietorship from Aritra Neogi ("Neogi", "we", "us", or "our"), concerning your access to and use of Neogi Training Centre, the applications: Cares U, Ingrace Browser, Question Maker AI, StarSlate, and Yesmam, as well as the neogi.in website and all associated subdomains (collectively, "Neogi Products"). You agree that by accessing or using any Neogi Products, you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using Neogi Products and you must discontinue use immediately. Contact Neogi in case of any queries.

1. User Agreement and Conduct

You agree to use Neogi Products only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the products. Prohibited behavior includes harassing or causing distress or inconvenience to any other user, transmitting obscene or offensive content, or disrupting the normal flow of dialogue within Neogi Products. You may not decompile, reverse engineer, disassemble, or otherwise reduce the software to a human-perceivable form.

2. Intellectual Property Rights

Unless otherwise indicated, Neogi Products are our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws. The Content and the Marks are provided on Neogi Products "AS IS" for your information and personal use only.

3. License and Usage

3.1. Software License

Neogi grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the applications solely for your personal, non-commercial purposes strictly in accordance with these Terms.

3.2. Service Usage

Access to our services is permitted on a temporary basis, and we reserve the right to withdraw or amend the service we provide without notice. We will not be liable if for any reason our services are unavailable at any time or for any period.

4. Payments and Subscriptions

Some Neogi Products may require payment or subscription fees. You must provide accurate and complete payment information. For in-app purchases, we use third-party payment processors like Apple In-App Purchase, Google Play Billing and Razorpay. All payments are subject to the terms and conditions of these third-party services.

5. Termination

We may terminate or suspend your access to Neogi Products immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use Neogi Products will cease immediately. You may terminate your use of the services at any time by discontinuing use or deleting your account and uninstalling all applications.

6. Disclaimers and Liability

6.1. Disclaimer of Warranties

Neogi Products are provided on an "AS IS" and "AS AVAILABLE" basis. Neogi makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

6.2. Limitation of Liability

In no event shall Neogi or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use Neogi Products, even if Neogi has been notified orally or in writing of the possibility of such damage.

7. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute arising from these Terms will be subject to the exclusive jurisdiction of the courts located in Kolkata, West Bengal, India.

8. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Neogi Products after those revisions become effective, you agree to be bound by the revised terms.
